General terms and conditions

Special provisions

  1. Sizes, specifications, prices and images on the website are subject to change without notice.
  2. No part of this website may be reproduced and/or published by means of copying, downloading or otherwise without prior written permission from Robtics.

Article 1 - Definitions

In these terms and conditions, the following terms are used in the following meaning, unless expressly stated otherwise:

  • Robtics: the company operating under the trade name Robtics, with its registered office in Leidschendam, De Star 3H, 2266NA, registered in the Trade Register of the Chamber of Commerce in The Hague under number 54268397;
  • Robtics.nl: the Robtics website, located at the internet address https://www.robtics.nl and all underlying pages, excluding references to third-party websites;
  • Product: the item or items that must be delivered to the customer within an agreed period as a result of the conclusion of the agreement between Robtics and the customer and for which an agreed price must be paid;
  • Purchaser: any person who, whether or not acting in the exercise of a business or profession, enters into or wishes to enter into an agreement with Robtics or to whom Robtics makes an offer or quotation;
  • Agreement: the agreement between Robtics and the customer;
  • Terms and Conditions: these general terms and conditions.


Article 2 - General

  1. These terms and conditions apply to every offer, quotation and agreement between Robtics and the customer to which Robtics has declared these terms and conditions applicable, insofar as the parties have not expressly deviated from these terms and conditions in writing.
  2. These terms and conditions also apply to agreements with Robtics, for the execution of which third parties must be involved.
  3. Deviating terms and agreements are only legally valid if they have been expressly agreed in writing with Robtics.
  4. Robtics is not liable, either legally or contractually, for any consequential damage suffered by the customer or a third party in connection with (the use of) the products. This includes loss of profit, business interruption, loss of data, and immaterial damage.


Article 3 - Quotations, offers and orders

  1. All quotations issued by Robtics are valid for a maximum period of thirty (30) days.
  2. Both Robtics and the purchaser are only bound to its quotation if the acceptance thereof is confirmed in writing by the purchaser within thirty (30) days.
  3. All offers shown on the website are valid for the period they are displayed on the website and for the validity of any current quotes made during the offer period.
  4. Deviations from offers and orders are only binding on Robtics if they have been confirmed by Robtics in writing.
  5. An order binds the buyer.
  6. Robtics cannot be held to its quotations, offers and orders if the purchaser, according to terms of reasonableness and fairness and generally accepted views in society, should have understood that the quotation or offer or a part thereof contained an obvious error or typographical error.
  7. Unless otherwise stated in the quotation or order, additional assembly and/or installation work is not included in the quotation or order.
  8. The prices in the stated quotations, offers and orders are inclusive of VAT, unless stated otherwise.
  9. If the acceptance (on minor points) deviates from the offer included in the quotation or order, Robtics is not bound by it. The agreement will not be concluded in accordance with this deviating acceptance, unless Robtics indicates otherwise.
  10. A composite quotation does not oblige Robtics to supply part of the items included in the quotation, offer or order for a corresponding part of the stated price.
  11. Quotes, offers or orders do not automatically apply to repeat orders.


Artikel 4 - Overeenkomst en wijziging van de overeenkomst

  1. These General Terms and Conditions apply to all agreements, as well as all products delivered by Robtics, unless expressly agreed otherwise in writing.
  2. The applicability of any general specific terms or conditions of the purchaser is expressly rejected by Robtics, unless otherwise agreed in writing.
  3. If during the performance of the agreement it appears that for proper performance it is necessary to change or supplement the work to be performed, the parties will adjust the agreement accordingly in a timely manner and in mutual consultation.
  4. If the parties agree to amend or supplement the agreement, the completion date may be affected. Robtics will notify the customer of this as soon as possible.
  5. If the change or addition to the agreement has financial and/or qualitative consequences, Robtics will inform the customer about this in advance.
  6. Notwithstanding 4.4, Robtics will not be able to charge additional costs if the change or addition is the result of circumstances that can be attributed to Robtics.
  7. Price changes
    1. If, after the agreement has been concluded, the price of the ordered product increases, this change will not affect the agreed price.
    2. If a price reduction of the ordered product occurs within two (2) weeks after the conclusion of the agreement, this will be settled at the request of the buyer.
    3. The provisions of paragraph 7.2 of this article do not apply to price reductions in the context of promotions, discounts, clearances, offers, showroom models, and the like.
  8. Ownership
    1. Robtics retains ownership of the product sold to the buyer until the buyer has paid the full amount owed under the agreement. The buyer is obligated to handle the product with care and has no right to transfer the product to third parties, pledge it, pawn it, or remove it or have it removed from the premises where it was delivered, until the entire purchase price and any associated interest and costs have been paid in full.


Article 5 - Delivery

  1. The delivery times stated by Robtics are approximate and do not bind Robtics.
  2. In the event of late delivery, the purchaser must notify Robtics in writing of the default and grant Robtics a reasonable period within which to fulfil its obligations.
  3. If the new delivery period set by the buyer is exceeded, the buyer is entitled to terminate the agreement without costs by means of a written notice to that effect, without this leading to any obligation to pay damages on the part of Robtics.
  4. Unless otherwise agreed in writing, delivery will take place at the Robtics store address in Leidschendam.
  5. The purchaser is obliged to accept the agreed product at the time when it is made available to him or is handed over to him.
    1. If delivery by Robtics has been agreed upon and the customer is not present on the agreed date and at the delivery address, or fails to provide information or instructions necessary for delivery, the agreed product will be resold after consultation. The agreed price will be increased by fifty euros (€50). These additional costs must be settled upon delivery.
    2. If the customer refuses the agreed product, or part thereof, upon delivery for a reason other than that stated in clause 5.3 of this article, the customer is liable for fifteen percent (15%) cancellation costs of the agreed total price.
    3. The buyer has the right to refuse the product if it:
      • is presented damaged;
      • is not in accordance with the agreed product.


Article 6 - Delivery

  1. Unless otherwise agreed, no products will be delivered by Robtics.
  2. If delivery by Robtics has been agreed, the product will be unpacked by Robtics and checked for damage.
  3. If delivery has been agreed as stated in 6.2, it is not possible to subsequently claim damage to the product.


Article 7 - Cancelling the purchase

  1. The buyer has the right to return the product to Robtics within 7 business days, starting the day after receipt. This excludes custom-made products and products ordered specifically for the buyer. Depending on the condition in which the product is received by Robtics, the buyer will receive a full refund or a percentage thereof. The buyer must submit a return request by email, letter, or fax. This request must at least state the condition of the product as stipulated in paragraph 3 of this article.
  2. If the buyer decides to return the product to Robtics, the buyer is responsible for the return shipping costs. Any damage incurred during return shipping to Robtics is the buyer's responsibility and expense.
  3. The product can be in the following three states:
    1. Condition 1: The product is undamaged and in its original, unopened packaging, and meets the conditions set out in sections 4.1 through 4.7. The buyer will be refunded one hundred percent (100%) of the agreed purchase price for the product.
    2. Condition 2: the product is undamaged, the original packaging is damaged, and meets the conditions set out in sections 4.1 through 4.7. The buyer will be refunded a maximum of eighty percent (80%) of the purchase price of the product.
    3. Condition 3; the product is damaged or missing the original packaging or accessories, such as the manual, mounting materials, included accessories, etc. The product meets the conditions set out in sections 4.2 through 4.6. The buyer will be refunded a maximum of sixty percent (60%) of the purchase price.
  4. Return Policy
    1. the product must be complete and in its original condition;
    2. the product must be unused;
    3. the product must be clean, as when the customer received it;
    4. the product may not have been built-in;
    5. the product may not have been assembled;
    6. supplied mounting material must be in its original packaging;
    7. The product must be provided with the original manual and supplied accessories.
  5. Determination of refund amount
    1. After the buyer receives the returned product, Robtics will examine the product expertly. After this examination, the buyer will be informed of the expert's assessment and the percentage that will be refunded to the buyer.
    2. If the customer agrees to the percentage stated in clause 5.1, Robtics will transfer the agreed amount as soon as possible, but no later than within 14 working days.
    3. If the purchaser does not agree with the percentage stated in clause 5.1, the product remains the property of the purchaser and the purchaser must collect the product at the delivery location within eight (8) working days at his own expense.


Article 8 - Warranty

  1. Robtics guarantees that the product to be delivered meets the usual requirements and standards that can be set for it and is free from any defects whatsoever.
  2. The warranty referred to in 8.1 applies, unless otherwise agreed, for a period of twelve (12) months after delivery.
  3. The warranty mentioned under 8.1 is a manufacturer's warranty.
  4. Robtics will provide the customer with proof of purchase as evidence regarding the warranty.
  5. If the delivered product does not meet this warranty, Robtics will, at Robtics' discretion, replace or repair the product within a reasonable period after receipt, or, if return is not reasonably possible, after written notification of the defect by the purchaser. In the event of replacement, the purchaser hereby agrees to return the replaced product to Robtics and transfer ownership thereof to Robtics.
  6. The warranty mentioned herein does not apply if the defect has arisen as a result of improper or inappropriate use or if, without the written permission of Robtics, the purchaser or third parties have made or attempted to make changes to the product or have used it for purposes for which the product is not intended.
  7. If the delivered product does not correspond to what was agreed and this non-conformity constitutes a defect within the meaning of the product liability regulations, Robtics is in principle not liable for consequential damage.


Article 9 - Investigation, complaints

  1. The buyer is obligated to inspect the delivered goods at the time of delivery, but in any case as soon as possible. In doing so, the buyer must examine whether the quality and quantity of the delivered goods correspond to what was agreed upon, or at least meet the requirements that apply in normal (commercial) transactions.
  2. Any visible defects must be reported to Robtics in writing within three (3) days of delivery, together with the warranty certificate and the defective product, unless this is impossible or unreasonably onerous.
  3. The buyer must report any hidden defects to Robtics within eight days of discovery, but no later than within the warranty period, in accordance with the provisions of the previous paragraph of this article. After the warranty period expires, Robtics is entitled to charge all costs for repairs or replacements, including administration, shipping, and any call-out fees.
  4. If a complaint is made in a timely manner pursuant to the previous paragraph, the buyer remains obligated to accept and pay for the purchased product. If the buyer wishes to return the defective product, this must be done with the prior written consent of Robtics and in the manner specified by Robtics.


Article 10 - Transfer of Risk

The risk of loss or damage to the product that is the subject of the agreement shall pass to the purchaser at the moment when it is legally and/or actually delivered to the purchaser and thus comes into the power of the purchaser or of a third party to be designated by the purchaser.


Article 11 - Payment

  1. Payment method:
    1. Unless otherwise agreed, payment must be made net in cash.
    2. If payment is not made in cash, it must be made before delivery.
    3. In the event of invoicing by Robtics, payment must be made within fourteen (14) days after the invoice date in the currency in which the invoice was issued.
    4. After fourteen (14) days have elapsed after the invoice date, the purchaser is legally in default; from the moment of default, the consumer owes interest of one percent (1%) per month on the amount due, unless the statutory interest is higher, in which case the statutory interest applies.
    5. In the event of bankruptcy or suspension of payments of the purchaser, Robtics' claims and the purchaser's obligations towards Robtics shall become immediately due and payable.
    6. If payment in advance has been agreed, the agreed total amount must be credited to Robtics' giro account within fourteen (14) days after the invoice date, but no later than the working day before delivery/collection.
    7. If payment in advance has been agreed and the total amount has been partially credited, payment of the remainder must be made in cash upon collection/delivery.
    8. If payment by cash on delivery has been agreed, payment must be made net in cash upon delivery.
  2. Refund:
    1. If it has been agreed to pay in advance and it is decided to terminate the agreement on the basis of Article 5.3, Robtics will refund the total agreed amount already credited to the customer as soon as possible, but no later than within fourteen (14) working days.
    2. If it has been agreed to pay in advance and it is decided on the basis of Article 5.3 to remove the undeliverable parts from the agreement, Robtics will refund the total amount of the removed parts to the customer as soon as possible, but no later than within fourteen (14) working days.
    3. Objections to the amounts in the agreement do not suspend the payment obligation.


Article 12 - Collection costs

All costs associated with the collection of invoiced amounts (including extrajudicial collection costs) are the responsibility of the buyer. These extrajudicial collection costs amount to at least fifteen percent (15%) of the principal amount, with a minimum of fifty euros (€50), all excluding VAT.


Article 13 - Liability

  1. If the product supplied by Robtics is defective, Robtics' liability towards the purchaser is limited to what is stated in these terms and conditions under "Warranty".
  2. If the manufacturer of a defective product is liable for consequential damage, Robtics' liability is limited to repair or replacement of the product, or refund of the purchase price.
  3. Notwithstanding the foregoing, Robtics shall not be liable if the damage is due to intent and/or gross negligence and/or culpable conduct, or to injudicious or improper use by the purchaser.
  4. The limitations of liability for direct damage contained in these conditions do not apply if the damage is due to intent or gross negligence on the part of Robtics or its subordinates.


Article 14 - Force Majeure

  1. Robtics is not obliged to fulfil any obligation if it is prevented from doing so as a result of a circumstance beyond its control and for which it is not responsible under the law, a legal act or generally accepted views.
  2. In these terms and conditions, force majeure is defined, in addition to its definition in law and case law, as all external causes, whether foreseen or unforeseen, beyond Robtics' control, which prevent Robtics from fulfilling its obligations. This includes strikes within Robtics.
  3. Robtics also has the right to invoke force majeure if the circumstance that prevents (further) compliance occurs after Robtics should have fulfilled its obligation.
  4. The parties may suspend their obligations under the agreement during the period of force majeure. If this period lasts longer than three months, either party is entitled to terminate the agreement without any obligation to compensate the other party for damages.
  5. If, at the time the force majeure occurs, Robtics has already partially fulfilled its obligations under the agreement or will be able to fulfill them, and the part fulfilled or to be fulfilled has independent value, Robtics is entitled to invoice the part already fulfilled or to be fulfilled separately. The customer is obligated to pay this invoice as if it were a separate agreement.


Article 15 - Complaints

Robtics will take all complaints regarding the performance of the agreement or the quality of the product seriously. The customer must submit the complaint by email, letter, or fax. Robtics will attempt to resolve the complaint as soon as possible, but no later than within fourteen (14) business days. Robtics will notify the customer by email.


Article 16 - Disputes

The court in Robtics's place of business has exclusive jurisdiction to hear disputes, unless the subdistrict court has jurisdiction. Nevertheless, Robtics reserves the right to submit the dispute to the legally competent court.


Article 17 - Applicable law

Dutch law applies to every agreement between Robtics and the purchaser.


Article 18 - Amendment and location of the terms and conditions
